1. Introduction

Welcome to Privacy Labs. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Privacy Labs ("Privacy Labs", "we", "us", or "our"), governing your access to and use of our website, platform, products, services, and related applications (collectively, the "Services").

By accessing, browsing, registering, or using any part of the Services, you agree that you have read, understood, and are bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

  • "Account" means the registered profile created by or for the User or Customer to access and use the Services.
  • "Customer" means the individual or legal entity that has entered into a subscription or service agreement with Privacy Labs.
  • "Personal Data" means any information that relates to an identified or identifiable natural person, as defined under the DPDP Act, 2025.
  • "Platform" means the Privacy Labs proprietary software, technology, web interface, APIs, and modules that comprise the Services.
  • "Services" means the Privacy Labs platform, website, tools, APIs, software, and all related features, support, and services provided by Privacy Labs.
  • "User Content" means any data, documents, text, or materials uploaded, submitted, or generated by you through the Services.

3. Description of Services

Privacy Labs provides a DPDP Act 2023 compliance platform that helps organizations:

  • Manage cookie consent and user preferences
  • Handle Data Subject Requests (DSR) - access, correction, erasure, portability
  • Process grievances and complaints
  • Automate compliance workflows
  • Discover and classify personal data in databases
  • Maintain audit trails and compliance reports
  • Monitor data retention and security

4. Eligibility and Account Registration

To access and use the Services, you must be at least 18 years of age or the age of legal majority in your jurisdiction. By using the Services, you represent and warrant that you meet this requirement.

If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent that you are duly authorized to bind that entity to these Terms.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate, current, and complete information
  • Keeping your account information updated
  • Notifying us immediately of any unauthorized access

5. License Grant and Restrictions

Subject to your compliance with these Terms, Privacy Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the applicable subscription period.

You shall not, and shall not permit any third party to:

  • Copy, modify, adapt, or create derivative works of the Services
  • Reverse engineer, decompile, or disassemble the Services
  • Sell, resell, license, or commercially exploit the Services
  • Use the Services to develop a competing product
  • Interfere with or disrupt the integrity of the Services
  • Attempt to gain unauthorized access to the Services
  • Use automated scripts or bots to scrape or extract data

6. User Content

You may upload, submit, or publish content to the Services. By submitting User Content, you grant Privacy Labs a non-exclusive, worldwide, royalty-free license to use, reproduce, and process such content solely for the purpose of providing the Services.

You represent and warrant that:

  • You have all necessary rights to submit the User Content
  • Your content does not infringe any third-party rights
  • Your content is not unlawful, defamatory, or obscene

You are solely responsible for creating backup copies of your User Content. Privacy Labs is not liable for any loss of User Content.

7. Acceptable Use

You agree to use the Services solely for lawful purposes and in compliance with these Terms and all applicable laws. You must not:

  • Attempt to gain unauthorized access to any systems or networks
  • Introduce malware, viruses, or other malicious code
  • Interfere with or disrupt the Services or other users
  • Transmit unlawful, defamatory, or abusive content
  • Impersonate any individual or entity
  • Use automated data scraping without authorization
  • Use the Services for unauthorized commercial purposes

8. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, store, and disclose personal data. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

All data processing is conducted in accordance with the Digital Personal Data Protection Act, 2025 (DPDP Act).

For Customers using our platform: You remain the Data Fiduciary for your end-users' data. Privacy Labs acts as a Data Processor and handles such data strictly in accordance with your instructions and applicable data protection agreements.

Customer Responsibilities:

  • Obtaining valid consent from your end-users
  • Correct configuration of the platform
  • Fulfilling DSRs and grievances from your end-users
  • Complying with applicable data protection laws

9. Fees and Payment

Access to certain features of the Services may be subject to payment of fees. All fees are payable in the currency and on the terms specified at the time of purchase.

  • Subscription fees are billed in advance and are non-refundable
  • Subscriptions automatically renew unless canceled
  • You are responsible for all applicable taxes

Privacy Labs reserves the right to suspend access if payment is not received on time.

10. Intellectual Property

All rights, title, and interest in and to the Services, including all software, technology, algorithms, content, visual interfaces, trademarks, logos, and documentation, are and shall remain the exclusive property of Privacy Labs.

You are granted only a limited right to access and use the Services in accordance with these Terms. No part of the Services may be copied, reproduced, distributed, or exploited without our prior written consent.

You retain all ownership rights in your User Content.

11. Confidentiality

Each party agrees to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed by the other party. This includes source code, algorithms, trade secrets, technical data, business strategies, and customer data.

Confidentiality obligations do not apply to information that:

  • Was lawfully known before disclosure
  • Becomes publicly available through no fault of the recipient
  • Is independently developed without reference to confidential information
  • Is required to be disclosed by law

12. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind. To the fullest extent permitted by law, Privacy Labs disclaims all express, implied, statutory, or other warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Privacy Labs does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Privacy Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of business opportunities, business interruption, or reputational harm.

Our total liability shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Privacy Labs, its affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, damages, costs, and expenses arising out of or related to:

  • Your use of the Services
  • Your breach of these Terms
  • Your violation of applicable laws
  • Your User Content
  • Any third-party claims related to your conduct

15. Term and Termination

These Terms remain in effect for as long as you access or use the Services. You may terminate your use at any time by following the account termination instructions or by contacting us at dpo@theprivacylabs.com.

Privacy Labs reserves the right to suspend or terminate your access without notice if you violate these Terms or applicable laws.

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, and limitation of liability) shall remain in effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. In the event of any dispute, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations.

If the parties are unable to reach a resolution within thirty (30) days, the dispute shall be submitted to the courts of competent jurisdiction in India.

17. General Provisions

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Privacy Labs regarding the Services.
  • Severability: If any provision is determined to be unlawful or unenforceable, it shall be severable and shall not affect the remaining provisions.
  • Waiver: Failure to enforce any provision shall not be deemed a waiver of such provision.
  • Force Majeure: Privacy Labs shall not be liable for any failure or delay resulting from causes beyond its reasonable control.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
  • Changes to Terms: We reserve the right to modify these Terms at any time. Your continued use of the Services constitutes acceptance of the revised Terms.
